1. Introduction

Welcome to ServiGo, a business automation and CRM platform operated by Maintained Group Pty Ltd (“we”, “our”, “us”). These Terms of Service (“Terms”) govern your use of ServiGo, including our websites (https://servigo.app), applications, dashboards, and any related services (collectively, the Services).

By creating an account, using our Services, or selecting “I Agree,” you confirm that you have read, understood, and accepted these Terms. If you are using the Services on behalf of a business or other entity, you warrant that you have the authority to bind that entity.

If you do not agree with these Terms, you must not use the Services.

2. Services Provided

We will supply the Services as described in your subscription agreement or related documentation (“Subscription Terms”).

We may provide additional services if separately agreed in writing.

Our Services may change over time. We may add, remove, or modify features at our discretion.

While we aim for reliability, we do not guarantee uninterrupted availability or specific business results.

3. Fees and Payment

Onboarding: A one-off, non-refundable onboarding fee applies, as specified in your Subscription Terms.

Subscription: Fees are payable in advance (monthly or annually) and will renew automatically unless cancelled in accordance with these Terms.

Failed Payments: If a payment attempt fails twice, we may suspend or restrict your access until payment is made. Additional administrative fees may apply.

Late Payment: Unpaid amounts may accrue interest at 2% above the RBA cash rate. You are responsible for any recovery costs we incur.

Price Changes: We may vary subscription fees by providing at least 14 days’ written notice. Continued use of the Services after the effective date constitutes acceptance of the new fees.

Taxes: All prices are quoted in Australian dollars and exclude GST unless otherwise stated.

4. Usage-Based Charges

Certain add-on features, such as SMS, email, or AI-driven communication, may incur usage-based charges. These are billed monthly in arrears and outlined in your Subscription Terms. You are responsible for monitoring usage and charges.

5. Term and Cancellation

Monthly Plans: Renew automatically each month. You may cancel by giving at least 14 days’ written notice to [email protected].

Annual Plans: Renew automatically each year. Cancellation requires at least 14 days’ written notice prior to the renewal date.

Our Right to Terminate: We may suspend or end your access immediately if you breach these Terms, misuse the Services, or fail to pay fees. Paid fees are non-refundable.

6. Your Responsibilities

When using ServiGo, you agree to:

Use the Services only for lawful purposes.

Provide accurate, current information when registering and maintaining your account.

Keep login credentials secure and not share them with unauthorised persons.

Not copy, decompile, reverse engineer, or otherwise exploit ServiGo technology.

Not upload or distribute unlawful, harmful, defamatory, or infringing content.

We reserve the right to remove content or restrict access if your use breaches these Terms.

7. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy (https://www.servigo.app/privacy). By using ServiGo, you consent to our handling of personal information in line with that policy and the Privacy Act 1988 (Cth).

8. Intellectual Property

All intellectual property in ServiGo (software, branding, and content) remains owned by Maintained Group Pty Ltd or our licensors.

You are granted a limited, non-exclusive, non-transferable licence to use ServiGo for your internal business purposes during your subscription term. You must not reproduce, resell, or distribute any part of ServiGo without our written permission.

9. Support

Standard subscribers may access support via email during business hours (9am–5pm AEST, Monday to Friday).

Premium subscribers may also receive priority phone support, as described in their Subscription Terms.

10. Warranties, Liability and Indemnity

No Warranties: To the fullest extent permitted by law, the Services are provided “as is” without any implied warranties of merchantability, fitness for purpose, or non-infringement.

Limitation of Liability: Our total liability for any claim is limited to either (a) resupplying the Services, or (b) refunding the subscription fees you paid in the one month prior to the incident.

Indemnity: You indemnify Maintained Group Pty Ltd, its directors, officers, and staff from and against any claims, losses, or expenses arising from your use of the Services, breach of these Terms, or unlawful conduct.

Nothing in these Terms limits your rights under the Australian Consumer Law.

11. General Terms

Notices: We may send notices to your registered email address.

Entire Agreement: These Terms and your Subscription Terms form the entire agreement between us.

No Waiver: Failure to enforce a right does not waive it.

Severability: If part of these Terms is invalid, the remainder continues to apply.

Assignment: You may not assign your rights under these Terms without our consent.

Force Majeure: Neither party is liable for delays or failures caused by events beyond reasonable control.

Dispute Resolution: Disputes must first be referred to mediation in Queensland before litigation.

Governing Law: These Terms are governed by the laws of Queensland, Australia, and subject to the jurisdiction of Queensland courts.

Amendments: We may update these Terms occasionally. Continued use after updates means you accept the revised Terms.
